What is the minimum number of members required to register a Farmer Producer Company?

A Farmer Producer Company (FPC) requires a minimum of 10 individual producer members, or two or more producer institutions, under the provisions of the Companies Act, 2013 governing producer companies, and must have a minimum of five directors on its board.

Can non-farmers or outside investors become shareholders in an FPC?

No. Membership in a Producer Company is restricted to primary producers -- individuals or institutions engaged in producing primary produce, such as farmers, dairy, or fishery producers -- so non-producer outside investors cannot hold equity in an FPC, which limits certain external fundraising options compared to a regular private limited company.

Is an FPC eligible for the tax exemptions available to Section 8 NGOs?

No. A Producer Company is registered as a for-profit private limited company under the Companies Act, 2013 and is taxed like any other company; it does not automatically enjoy the income tax exemptions available to a Section 8 non-profit company.

Can profits be distributed to FPC members?

Yes. Unlike a Section 8 non-profit company, an FPC can distribute profits to its members in the form of a patronage bonus, based on the volume of business each member conducted with the company, in addition to limited dividends, since the FPC structure combines cooperative principles with company-form governance.

What ongoing compliance does an FPC need to maintain after registration?

Like any private limited company, an FPC must hold annual general meetings, file annual returns and financial statements with the RoC, maintain statutory registers, and get its accounts audited annually, in addition to any sector-specific reporting linked to agricultural produce.
