What is a Certificate of Incorporation and who issues it in India?

It is the official document certifying that a company has been formally registered as a corporate entity. In India it is issued by the Registrar of Companies under the Ministry of Corporate Affairs, typically through the SPICe+ (Form INC-32) integrated incorporation process, and it records the company's Corporate Identification Number (CIN), name, registration date, and registered office state.

Is a Certificate of Incorporation the same as a GST or business registration?

No. The Certificate of Incorporation only establishes the company as a distinct legal entity under company law. Separate registrations -- such as GST registration, MSME/Udyam registration, or trade licenses -- are required depending on the nature and scale of the business activity, and are typically applied for after incorporation.

Does the Certificate of Incorporation expire or need renewal?

No. Once issued, it remains valid for the lifetime of the company and does not require periodic renewal. It ceases to have effect only if the company is voluntarily wound up, struck off by the RoC for non-compliance, or dissolved through liquidation proceedings.

What details can I verify using a company's Certificate of Incorporation?

Can a company begin operations immediately after receiving its Certificate of Incorporation?
